POSITION OVERVIEW
We are looking for a Contracts Legal Counsel to join our offices in Panama City, Panama.
CONTRACTS LEGAL COUNSEL – JOB DESCRIPTION
SUMMARY
Responsible for reviewing, negotiating, structuring, and administering contractual documents that establish business relationships with customers and/or partners, including vendor/procurement contracts and sales contracts. Works cross-functionally to structure and manage the contracting process, advising the organization on contractual rights, obligations, and interpretation of terms and conditions.
KEY RESPONSIBILITIES
- Analyze, develop, and administer contractual documents to ensure compliance with company policy, legal and regulatory requirements, and internal specifications.
- Provide contractual and commercial expertise, guidance, and support in contract development and negotiation, including risk assessment and alternative positions.
- Advise on and approve amendments, extensions, and changes to contractual and commercial terms.
- Advise internal stakeholders on contractual rights and obligations.
- Coordinate internal resources to complete contract documentation efficiently.
- Provide after-sales support across LATAM to ensure effective contract execution.
- Proactively contribute ideas to improve efficiency and effectiveness in contracting processes.

- In-depth disciplinary knowledge, particularly in procurement and vendor agreements.
- Strong business acumen and subject matter expertise, providing guidance and delivery support.

- Solid understanding of customer requirements and competitor practices.

JOB DUTIES
- Participate on negotiating teams for moderate-complexity contracts.
- Handle after-sales coordination to ensure effective contract execution.
- Lead regional functional teams on projects impacting the contracting process; support global initiatives.
- Manage multiple contracts and projects with varying deadlines.
- Serve as lead negotiator, drafter, or contract manager for medium-complexity agreements.
- Support regional and multinational contracts.
- Interface with customers and vendors at mid-management levels.
Requisitos
JOB SCOPE DIFFERENTIATORS & REQUIREMENTS
- Bachelor’s degree in Law (required)
- Master’s degree (LLM, Contract Law, Business Law, International Law, or related) strongly preferred
- 8+ years of relevant experience
